Yalpro Digital Agency S.L., "Yalpro" provides subscription-based social content, simple sites, and AI automations via www.yalpro.com. By signing up (or accepting by email), you agree to these Terms & Conditions.

1) Definitions

“We/Us” means Yalpro. “You/Client” means the business or person purchasing the Services. “Order” means the online checkout or written/email agreement confirming your plan, price and options.

2) Scope of Services

  • Social media strategy and planning
  • Content creation and posting on agreed platforms (e.g., Instagram, Facebook)
  • Community engagement and basic analytics reporting
  • Optional: Stories, Reels, engagement boosts (if discussed)

Additional services (e.g., automations, specialized campaigns) are quoted separately.

3) Free Trial & No Obligation

  • The first 30 days are a free trial. We deliver our standard monthly services at no cost.
  • If you cancel within the trial, no payment is due.
  • If you continue past the trial, the standard monthly fee (as communicated) applies from month 2 onward.

4) Client Responsibilities

You agree to provide timely feedback, access to social accounts, and required content/assets.

5) Expectations & Growth Approach

We do not guarantee viral views, specific engagement numbers, or rapid growth. We do guarantee:

  • High-quality, professional content tailored to your brand
  • Consistent, ethical engagement within your niche/industry
  • Focus on organic growth, with optional paid ads if you choose
  • No bots, fake accounts or artificial tactics — growth efforts are 100% ethical

This supports sustainable, trustworthy results over time.

6) Confidentiality & Ownership

  • You retain ownership of all original content and brand assets you supply.
  • We retain ownership of our templates, styles, automation blueprints, and materials unless agreed otherwise.
  • Both parties will keep access credentials and shared business information confidential.

7) Limitations & Liability

  • We act ethically and within platform rules, but we’re not responsible for platform restrictions or bans outside our control.
  • Algorithms & reach: Engagement and distribution on platforms (e.g., Meta) are controlled by the platforms’ algorithms and policies. Organic reach varies; paid ads may extend reach but no results are guaranteed.
  • Liability cap: To the maximum extent allowed by law, our total liability is limited to the fees you paid for the applicable month. We are not liable for indirect, incidental or consequential losses, loss of profits, or loss of data.

8) Plans, Billing & Taxes

  • Month-to-month subscription renews until cancelled.
  • Fees charged in EUR at the start of each period; VAT added where required.
  • Coupons/intro promotions apply as stated; price changes apply from your next renewal with prior notice.

9) Cancellations

Cancel anytime via My Account or by contacting us. Cancellation takes effect at the end of the current billing period unless stated otherwise. See our Refund Policy for payment rules.

10) Deliverables & Timelines

  • After onboarding and assets, we aim to deliver your first content pack within 5 business days.
  • Monthly work runs in cycles; missing approvals/credentials/assets may shift work to the next cycle.
  • Reasonable revisions are included to align with your brief; major direction changes may be scheduled later.

11) Results & Platform Limits (Meta)

We cannot guarantee specific outcomes (e.g., leads, sales). Delivery, visibility and enforcement are controlled by the platforms. We will advise best practices to improve your odds within those limits.

12) Third-Party Platforms & Spend

Third-party terms (e.g., Meta, Google, schedulers, analytics) apply in addition to ours. Outages, policy changes or account restrictions are outside our control. Ad budgets, domains/hosting and third-party tool fees are separate unless explicitly included, and are non-refundable once committed.

13) Data & Privacy

We process account/billing data as a controller and may act as a processor when posting to your pages. See our Privacy Policy.

14) Intellectual Property (clarified)

You may use the final deliverables we create for you. Our underlying systems, templates and internal tooling remain our property unless otherwise agreed.

15) Warranties & Disclaimers

We provide Services with reasonable care and skill. Except where prohibited by law, we disclaim implied warranties and do not promise particular commercial results.

16) Changes to Service/Prices

We may update features or pricing. Any price changes take effect on your next renewal and will be communicated in advance.

17) Governing Law

These Terms are governed by the laws of Spain. Exclusive venue: the courts of Alicante, unless mandatory law provides otherwise.

Yalpro Digital Agency S.L., "Yalpro" ofrece suscripciones de contenido social, sitios sencillos y automatizaciones con IA en www.yalpro.com. Al registrarte (o aceptar por correo), aceptas estos Términos.

1) Definiciones

«Nosotros» es Yalpro. «Tú/Cliente» es la empresa o persona que contrata los Servicios. «Pedido» es la compra online o acuerdo por escrito/correo con tu plan, precio y opciones.

2) Alcance de los Servicios

  • Estrategia y planificación de redes sociales
  • Creación y publicación de contenidos en plataformas acordadas (p. ej., Instagram, Facebook)
  • Interacción con la comunidad y reportes básicos
  • Opcional: Stories, Reels, impulsos de interacción (si se acuerda)

Servicios adicionales (automatizaciones, campañas especializadas) se cotizan aparte.

3) Periodo de Prueba & Sin Compromiso

  • Los primeros 30 días son de prueba gratuita con entrega de servicios mensuales estándar sin coste.
  • Si cancelas durante la prueba, no hay pago.
  • Si sigues tras la prueba, se aplica la tarifa mensual estándar desde el mes 2.

4) Responsabilidades del Cliente

Te comprometes a aportar feedback puntual, accesos a cuentas sociales y los activos/contenidos requeridos.

5) Expectativas & Enfoque de Crecimiento

No garantizamos visualizaciones virales, cifras específicas de interacción ni crecimiento rápido. Sí garantizamos:

  • Contenido profesional y de alta calidad adaptado a tu marca
  • Interacción constante y ética en tu nicho/industria
  • Enfoque en crecimiento orgánico; publicidad pagada opcional
  • Sin bots, cuentas falsas ni tácticas artificiales — crecimiento 100% ético

Esto favorece resultados sostenibles y confiables en el tiempo.

6) Confidencialidad & Propiedad

  • Mantienes la propiedad de tu contenido original y activos de marca.
  • Yalpro conserva plantillas, estilos, esquemas de automatización y materiales salvo pacto en contrario.
  • Ambas partes guardarán confidenciales credenciales de acceso e información empresarial compartida.

7) Limitaciones & Responsabilidad

  • Actuamos de forma ética y conforme a normas de plataforma, pero no respondemos de restricciones o bloqueos ajenos a nuestro control.
  • Algoritmos & alcance: El engagement y la distribución (p. ej., en Meta) dependen de algoritmos y políticas de plataforma. El alcance orgánico varía; la publicidad puede ampliarlo pero no se garantiza ningún resultado.
  • Límite de responsabilidad: En lo permitido por ley, nuestra responsabilidad total se limita a las tarifas pagadas en el mes correspondiente. No respondemos por daños indirectos, incidentales o consecuenciales, lucro cesante o pérdida de datos.

8) Planes, Facturación e Impuestos

  • Suscripción mes a mes hasta cancelación.
  • Cargos en EUR al inicio de cada periodo; IVA cuando corresponda.
  • Cupones/promos según lo indicado; cambios de precio rigen en la siguiente renovación con aviso previo.

9) Cancelaciones

Puedes cancelar desde Mi Cuenta o contactándonos. Efecto al final del periodo en curso salvo indicación contraria. Reglas de pago: Política de Reembolsos.

10) Entregables & Plazos

  • Tras onboarding y activos, primer pack en 5 días hábiles.
  • Trabajo mensual por ciclos; faltas de aprobación/credenciales/activos pueden mover al ciclo siguiente.
  • Revisiones razonables incluidas; cambios sustanciales pueden programarse más adelante.

11) Resultados & Límites de Plataforma (Meta)

No garantizamos resultados concretos (leads, ventas). La visibilidad y el cumplimiento dependen de las plataformas. Asesoramos mejores prácticas dentro de esos límites.

12) Plataformas de terceros & Gastos

Aplican condiciones de terceros (Meta, Google, programadores, analítica) además de las nuestras. Caídas, cambios de políticas o restricciones de cuenta quedan fuera de nuestro control. Presupuestos publicitarios, dominios/hosting y tasas de terceros son independientes salvo inclusión expresa y no reembolsables una vez comprometidos.

13) Datos & Privacidad

Tratamos datos de cuenta/facturación como responsables y podemos actuar como encargados al publicar en tus páginas. Consulta la Política de Privacidad.

14) Propiedad Intelectual

Puedes usar los entregables finales creados para ti. Nuestros sistemas, plantillas y herramientas internas siguen siendo de Yalpro salvo acuerdo en contrario.

15) Garantías & Exenciones

Prestamos los Servicios con diligencia razonable. Salvo prohibición legal, declinamos garantías implícitas y no prometemos resultados comerciales específicos.

16) Cambios en el Servicio/Precios

Podemos actualizar funciones o precios. Los cambios de precio aplican en la siguiente renovación con aviso previo.

17) Ley aplicable

Leyes de España. Sede exclusiva: juzgados de Alicante, salvo norma imperativa.

18) Aceptación de Términos (Firma Digital)

Puedes aceptar por correo: “Acepto el mes de prueba gratuito bajo los términos descritos. Consideren este correo como mi firma digital.” Checkout/firma electrónica son igualmente válidos.
